RAPORT
Rok 2022 r. był trudny dla rynku deweloperskiego, pierwsze dwa kwartały 2023 r. przyniosły pewną nadzieję na odbicie, trzeci kwartał 2023 r. przyniósł wreszcie długo oczekiwane mocne odbicie na rynku mieszkaniowym. Trzeci kwartał był przełomowy – mogliśmy w praktyce obserwować działania Bezpiecznego Kredytu 2%. Jak przewidywaliśmy, program ten silniej wpłynął na ceny niż na podaż – która na razie nie nadąża za popytem, stymulowanym preferencyjnym kredytowaniem.

Zmiany w Ustawie o obligacjach, Ustawie o obrocie oraz Ustawie o funduszach inwestycyjnych

Informujemy, że z dniem 29 września 2023 r. wchodzi w życie Ustawa z dnia 16 sierpnia 2023 r. o zmianie niektórych ustaw w związku z zapewnieniem rozwoju rynku finansowego oraz ochrony inwestorów na tym rynku (poz. 1723), (dalej jako: „Ustawa”). Ustawa zmienia szereg aktów prawnych, w tym ustawę z 15 stycznia 2015 r. o obligacjach (dalej: „ustawa o obligacjach”), ustawę z dnia 29 lipca 2005 roku o obrocie instrumentami finansowymi („ustawa o obrocie”) oraz ustawę z dnia 27 maja 2004 r. o funduszach inwestycyjnych i zarządzaniu alternatywnymi funduszami inwestycyjnymi (dalej: „ustawa o funduszach inwestycyjnych”), które w istotny sposób wpływają na działania emitentów papierów wartościowych. 

Dom Maklerski Navigator S.A. informuje o najważniejszych zmianach tj.:

  1. Dodaniu art. 8a do ustawy o obligacjach: Klient detaliczny w rozumieniu art. 3 pkt 39c ustawy o obrocie, będący osobą fizyczną, będzie mógł nabywać obligacje, jeżeli wartość nominalna obligacji nie jest mniejsza niż 40 000 euro lub równowartość tej kwoty wyrażona w walucie polskiej lub innej, ustalona przy zastosowaniu średniego kursu euro lub średniego kursu tej waluty ogłaszanego przez Narodowy Bank Polski w dniu podjęcia decyzji emitenta o emisji;
  2. Dodaniu art.27p-27r w ustawie o obligacjach, wprowadzając możliwość emitowania tzw. obligacji transformacyjnych (zielone obligacje): Emitent w warunkach emisji obligacji będzie mógł określić cel emisji polegający na sfinansowaniu nowej zrównoważonej środowiskowo inwestycji;
  3. Dodaniu w ustawie o obligacjach art. 33a, wprowadzający obowiązkowe pośrednictwo firmy inwestycyjnej w emisjach skierowanych do klienta detalicznego: Oferta publiczna obligacji, o której mowa w art. 2 lit. D rozporządzenia 2017/1129, skierowana do klienta detalicznego w rozumieniu art. 3 pkt 39c ustawy o obrocie będącego osobą fizyczną, będzie wymagać pośrednictwa firmy inwestycyjnej lub dostawcy usług finansowania społecznościowego posiadającego zezwolenie;
  4. W art. 35 ustawy o obligacjach zmieniono obowiązkową treść dokumentu „propozycji nabycia” poprzez wskazywanie nie tylko zobowiązań emitenta, ale całej grupy kapitałowej, jeśli do takiej należy emitent, a także wskazywanie prognozowanej, szacunkowej kwoty zobowiązań. Dodatkowo, do propozycji nabycia emitent i jednostka dominującą będą musiały złożyć oświadczenie, że według ich najlepszej wiedzy informacje przekazane przez emitenta do Rejestru Zobowiązań Emitentów prowadzonego przez Krajowy Depozyt Papierów Wartościowych zgodnie z art. 48 ust. 5e ustawy o obrocie są kompletne i aktualne.
  5. W ustawie o obrocie zmieniono m.in. zakres obowiązków agenta emisji:
    było:
    Obowiązki agenta emisji obejmowały m.in.:
    1) weryfikację spełniania przez emitenta wymogów dotyczących emisji papierów wartościowych, wynikających z przepisów prawa;
    2) weryfikację zgodności dokumentacji i oświadczeń przedstawionych przez emitenta z wymogami dotyczącymi oferowania papierów wartościowych, wynikającymi z przepisów prawa (…)
    jest:
    Obowiązki agenta emisji obejmują m.in.:
    1) weryfikację dokumentów stanowiących podstawę prawną emisji papierów wartościowych w zakresie spełniania wynikających z przepisów prawa wymogów niezbędnych dla powstania i realizacji praw wynikających z papierów wartościowych;
    2) weryfikację kompletności dokumentacji i oświadczeń przedstawionych przez emitenta w zakresie spełniania wynikających z przepisów prawa wymogów dotyczących oferowania papierów wartościowych (…).
  6. Zmieniono w ustawie o obrocie obowiązek informowania KDPW (rze.info) przez emitentów: Emitenci będą obowiązani przekazywać Krajowemu Depozytowi, niezwłocznie, jednak nie później niż w terminie 3 dni roboczych od dnia wystąpienia zdarzenia, informacje o wartości świadczeń wynikających z papierów wartościowych, o których mowa w ust. 1, które stały się wymagalne, ze wskazaniem, czy i w jakim zakresie świadczenia te zostały spełnione, a także aktualizować informacje, o których mowa w ust. 1, w przypadku gdy przestały one odpowiadać stanowi rzeczywistemu.
  7. Rozszerzono możliwy katalog konfliktów interesów między agentem emisji i emitentem (art. 7a ust.3 ustawy o obrocie);
  8. Powstanie nowy obowiązek raportowy (art. 7c ustawy o obrocie): Emitent lub agent emisji działający na rzecz emitenta w przypadku określonym w art. 7a ust. 1, są obowiązani przekazać Krajowemu Depozytowi, przed zawarciem umowy, której przedmiotem jest rejestracja papierów wartościowych w depozycie papierów wartościowych lub w innym systemie rejestracji, o którym mowa w art. 49 ust. 1 rozporządzenia 909/2014, dodatkowe informacje dotyczące emisji tych papierów wartościowych, rodzaju papieru wartościowego, wynikających z niego zobowiązań oraz sposobu ich oferowania. Minister finansów określi, w drodze rozporządzenia, szczegółowy zakres Informacji.
  9. W ustawie o funduszach inwestycyjnych dodano art.123a-123e, który stanowi, że na żądanie funduszu inwestycyjnego zamkniętego lub towarzystwa funduszy inwestycyjnych podmioty prowadzące rachunki papierów wartościowych lub rachunki zbiorcze są obowiązane udostępnić temu funduszowi lub temu towarzystwu informacje umożliwiające identyfikację uczestników funduszu inwestycyjnego zamkniętego oraz liczby wyemitowanych przez niego certyfikatów inwestycyjnych, posiadanych przez każdego z tych uczestników, według stanu na wskazany w tym żądaniu dzień, przypadający nie wcześniej niż na dzień jego złożenia.

Notice of significant changes in the law

Acting on behalf of Dom Maklerski NAVIGATOR S.A. of Warsaw, with its registered office at ul. Twarda 18,
00-105 Warsaw, Poland, entered in the register of entrepreneurs kept by the District Court
for the Capital City of Warsaw of Warsaw, 12th Commercial Division of the National Court Register, under No. KRS 0000274307, Tax Identification Number NIP: 1070006735, National Business Registry number REGON: 14087126, share capital of PLN 1,400,000.00, paid in full (the “Brokerage House”), 

would like to notify you that the Act of 16 August 2023 amending Certain Laws to ensure Growth of the Financial Market and Protect Investors on that Market (item 1723) (the “Act”) was promulgated on 29 August 2023. The Act has amended a number of other acts, including the Act of 15 January 2015 on Bonds (the “Act on Bonds”), the Act of 29 July 2005 on Trading in Financial Instruments (the “Act on Trading in Financial Instruments”) and the Act of 27 May 2004 on Investment Funds and Management of Alternative Investment Funds (the “Act on Investment Funds”), which have a significantly impact on your activities as issuers of securities.  Given the above, the Brokerage House would like to inform you of the most important changes, which include:

  1. Addition of Art. 8a in the Act on Bonds: A retail client within the meaning of Art. 3.39c of the Act on Trading in Financial Instruments, who is a natural person, will be able to purchase bonds if the nominal value of the bonds is not less than EUR 40,000 or the equivalent of that amount expressed in the Polish currency or in another currency, determined using the mid-exchange rate of euro or the mid-exchange rate of that currency quoted by the National Bank of Poland on the date on which the issuer makes the decision on the issue;
  2. Addition of Art. 27p–27r in the Act on Bonds, introducing the possibility of issuing the so-called transition bonds (green bonds): The issuer will be able to specify in the terms and conditions of the bonds the use of proceeds from the issue to finance a new environmentally sustainable investment project;
  3. Addition of Art. 33a in the Act on Bonds, introducing mandatory intermediation by an investment firm in issues addressed to retail clients: A public offering of bonds, as referred to in Art. 2.D of Regulation 2017/1129, addressed to a retail client within the meaning of Art. 3.39c of the Act on Trading in Financial Instruments, who is a natural person, will require the intermediation by an investment firm or crowdfunding service provider holding a relevant permit;
  4. The amendment of Art. 35 of the Act on Bonds consisted in a change of the mandatory content of the “invitation to purchase” by introducing a requirement to indicate obligations of not only the issuer, but also its entire group, if the issuer is a member of a group, and to indicate the forecast, estimated amount of obligations. Moreover, the invitation to purchase must be accompanied by the issuer’s and the parent entity’s representation to the effect that, to the best of their knowledge, the information provided by the issuer to the Register of Issuers’ Obligations maintained by the National Depository for Securities (KDPW) pursuant to Art. 48.5e of the Act on Trading in Financial Instruments is complete and up-to-date.
  5. In the Act on Trading in Financial Instruments, among other things, the scope of the issue agent’s obligations has been amended:

The obligations of the issue agent currently include:

1) verification whether the issuer meets the securities issue requirements specified by law;

2) verification whether the documentation and representations presented by the issuer meet the legal requirements for offering securities (…)

The obligations of the issue agent will include:

1) verification of documents constituting the legal basis for the issue of securities with regard to compliance with the legal requirements necessary for the establishment and exercise of rights conferred by such securities;

2) verification whether the documentation and representations presented by the issuer are complete and meet the legal requirements for offering securities (…).

 

  1. The obligation for issuers to submit notifications to the KDPW (rze.info) specified in the Act on Trading in Financial Instruments has been amended as follows: Issuers will be obliged to notify the National Depository promptly, but no later than within 3 business days after the occurrence of the event, of the value of benefits conferred by the securities referred to in Par. 1 which have become due, indicating whether and to what extent those benefits have been satisfied, and to update the information referred to in Par. 1 if it is no longer accurate.
  2. The possible catalogue of conflicts of interests between the issue agent and the issuer has been expanded (Art. 7a.3 of the Act on Trading in Financial Instruments);
  3. A new reporting obligation will be imposed (Art. 7c of the Act on Trading in Financial Instruments): The issuer or the issue agent acting on behalf of the issuer in the case referred to in Art. 7a.1 will be obliged to provide the National Depository, prior to the conclusion of an agreement on the registration of securities in a depository for securities or other registration system referred to in Art. 49.1 of Regulation 909/2014, with additional information on the issue of such securities, the type of securities, the obligations arising therefrom and the manner in which they are offered. The Minister of Finance will determine, by way of a regulation, the detailed scope of the Information.
  4. Art. 123a–123e has been added to the Act on Investment Funds, which provide that, at the request of a closed-end investment fund or an investment fund management company the entities operating securities accounts or omnibus accounts are obliged to make available to that fund or that management company information enabling the identification of the participants in the closed-end investment fund and the number of its investment certificates held by each of those participants, as at the date indicated in that request, which is no earlier than the date of the request.
